Collaborator Program Terms and Conditions

Welcome to the MagicWait Paris Collaborator Program (hereinafter, the "Program").

This document constitutes a legal agreement (the "Agreement") between Silo Creativo S.L., with registered office in Seville, Spain (hereinafter, "MagicWait Paris", "We", "the Company"), and you ("You", "the Collaborator") as a participant in the Program.

By completing and submitting the application form, you certify that you have read, understood, and accepted the terms and conditions of this Agreement.

1. Acceptance of the Agreement

Your participation in the Program is conditional upon your acceptance of these terms. We reserve the right to reject any application at our sole discretion if we consider that your profile or promotion channels are not suitable for our brand.

2. Collaborator Responsibilities

As a Collaborator, you agree to:

• Promote MagicWait Paris in a positive and honest manner, accurately representing the application's features.
• Add clear and visible disclosure in any content promoting our product, indicating that it is a paid collaboration or that you may receive commissions. This must comply with local legislation and platform rules (e.g., using hashtags like #ad, #collaboration, #sponsored, or #affiliate).
• Use the materials provided in our Collaborator Kit professionally and respecting our brand guidelines.
• Not perform any action that could damage MagicWait Paris' reputation.

3. Strictly Prohibited Actions

Failure to comply with any of these rules will result in immediate termination of your account and retention of any pending commissions.

• Do not perform paid advertising (PPC) on search engines (Google, Bing, etc.) bidding on keywords that include our brand, such as "MagicWait Paris", "MagicWait", "magicwaitparis.com" or variations thereof.
• Do not promise false or non-existent discounts. You may only promote the official 10% discount associated with your code.
• Do not generate traffic or sales through illegal, immoral, or fraudulent means, including, but not limited to, spam, malware, spyware, or offensive content.
• Do not impersonate our brand. It is prohibited to create websites, social media profiles, or any online presence that could mislead users into believing they are interacting with an official MagicWait Paris channel.
• Do not use your own collaborator code to make personal purchases.

4. Commissions and Payments

• Commission Rate: You will receive a 30% commission on the final sale price (after applying the discount) of each Premium plan purchased using your unique collaborator code.
• Validation Period: To account for possible refunds or returns, all commissions are subject to a 30-day validation period from the purchase date. A commission is considered "pending" during this time.
• Commission Approval: After the 30-day period without a refund occurring, the commission will be considered "approved" and will be eligible for payment. If a refund is processed for a sale, the "pending" commission associated with that sale will be cancelled.
• Payment Schedule: Payments of all "approved" commissions during a calendar month will be processed during the first five (5) business days of the following month.

Practical example: A sale made on January 15th becomes an "approved" commission on February 14th. Since it was approved in February, it will be included in the payment cycle processed in early March.

• Payment Threshold: The minimum threshold to receive a payment is €30 in "approved" commissions. If you don't reach the threshold in a month, your balance will accumulate for the following month.
• Payment Method: Payments are made via bank transfer. It is your responsibility to provide and keep your bank details updated to receive commissions.

5. Duration and Termination of the Agreement

• This Agreement will begin once your application is accepted and will remain in effect until terminated.
• You may leave the Program at any time by providing written notice.
• We may terminate this Agreement at any time, with or without cause, by providing written notice.
• We reserve the right to terminate your participation immediately and without prior notice if it is determined that you have violated any of the rules of this Agreement. In such case, you will lose the right to any pending commission payments.

6. Relationship Between Parties

You participate in this Program as an independent contractor. Nothing in this Agreement will create a partnership, joint venture, agency, franchise, sales representative, or employee relationship between you and Silo Creativo S.L. You have no authority to make or accept offers or representations on our behalf.

7. Modification of Terms

We reserve the right to modify any of the terms and conditions of this Agreement at any time. We will notify you of any significant changes through the email associated with your account. If you continue participating in the Program after notification, it will be considered that you have accepted the modification.

8. Applicable Law and Jurisdiction

This Agreement will be governed and interpreted in accordance with Spanish legislation. For the resolution of any controversy that may arise in relation to this Agreement, both parties expressly submit to the jurisdiction of the Courts and Tribunals of the city of Seville, Spain, waiving any other jurisdiction that may correspond to them.
